Primary Will + Corporate Will + two POAs for an individual

In Ontario, an individual is permitted to have two wills--the primary one is subject to probate and Estate Administration Tax (E.A.T.) and the secondary one (i.e. corporate will) is not. The corporate will contains private shares of a corporation whereas the primary will contains all other assets that are subject to E.A.T.
If there is no secondary will in place, your private shares of a corporation will be treated like all other assets subject to E.A.T. and probate.
The dual wills arrangement is suitable specifically for those professionals who own professional corporations or businesses.
安省容許一個人有兩份遺囑, 第二遺囑(亦稱公司遺囑)可包含私人公司股份, 不用申請遺產承辦手續, 所以無需繳交遺產執行稅。基本遺囑則包含其他資產, 需要申請遺產承辦手續, 及繳交遺產執行稅。
如沒有第二遺囑, 你的私人公司股份會與你的其他資產一樣, 需要申請遺產承辦手續, 及繳交遺產執行稅。
